Corporate Governance

As the parent company of the adesso Group, adesso SE (formerly adesso AG) prepares a separate non-financial Group declaration in accordance with Section 315b (3) of the German Commercial Code (HGB) with exempting effect for Group companies subject to reporting requirements. The declaration was prepared in accordance with the German Sustainability Code (DNK).

The Code of Conduct summarises our corporate principles and our values. All of the other guidelines in the adesso Group are aligned with this document.

The executive bodies of adesso SE welcome the German Corporate Governance Code and the efforts of the Government Commission to make the German corporate governance system transparent and comprehensible.

The corporate governance of adesso SE and the management of its affiliated companies are primarily based on the statutory provisions applicable to the respective company.

In order to familiarise yourself with the remuneration of the executive bodies of adesso SE, we provide you with the information pursuant to Section 120a and Section 162 of the German Stock Corporation Act (AktG).

The German Corporate Governance Code recommends that the Supervisory Board should adopt rules of procedure and make them available on the company’s website. The rules of procedure are an instrument of self-organisation for the activities of the Supervisory Board.

As a responsible company, the adesso Group is committed to respecting and observing human rights. We want to live up to our responsibility in society and towards our employees as well as customers, suppliers, service providers and business partners and therefore commit ourselves to clear principles as a framework for our entrepreneurial and business activities.

This guideline defines minimum standards and requirements for compliance, corporate social responsibility and sustainability. As the adesso Group, we expect our suppliers to comply with these basic requirements and to ensure that they are also met by their own subcontractors and suppliers.

The Supervisory Board of adesso SE specifies concrete objectives for its composition and has drawn up a profile of skills and expertise for the entire Board.
